Provider Agreement — Fenua'p

1. Purpose
This agreement sets out the conditions under which an independent professional (the "Provider") offers services to users of the Fenua'p Platform.
2. Provider status
2.1. The Provider operates independently. This agreement creates no subordination, no employment contract, no agency and no partnership between the parties.
2.2. The Provider declares to be compliant for their activity: registration (patente or company), required authorisations and licences, professional insurance, social and tax obligations.
2.3. The Provider freely organises their activity: hours, prices (within regulated rates), and acceptance or refusal of requests.
3. Registration and verification
3.1. Registration requires supporting documents (identity, registration, licences, insurance depending on the activity).
3.2. Fenua'p checks these documents and may display a verification badge. An expired document automatically suspends visibility until it is renewed.
3.3. Published information and photos must be accurate, match the actual offer and not be misleading.
4. Financial terms
4.1. The Provider freely sets their prices, within regulated rates where they exist (notably order no. 1540 CM of 6 September 2023 for passenger transport).
4.2. Displayed prices are in Pacific francs (XPF), all taxes included.
4.3. The Provider alone is liable for taxes and contributions relating to their activity.
4.4. Platform remuneration — none during the launch phase. Fenua'p is in its launch phase: no remuneration is charged to date. The Platform connects the Provider with Customers and provides the associated services (listing, matching, support). Fenua'p receives no remuneration for this: no commission, no service fees, no booking fees. Fenua'p collects no money in respect of the services: the Customer pays the Provider DIRECTLY, in cash or by instant transfer to the account the Provider indicates in the Application. The Provider sets the price of their service, within the limit of the regulated rate where one exists, collects it from the Customer and keeps all of it. Should the Platform ever introduce remuneration, this would require prior information in the Application AND a fresh acceptance of this contract by the Provider; it would have no retroactive effect on transactions already confirmed.
4.5. The Provider issues the Customer any receipt required by the regulations governing their activity.
5. Provider obligations
The Provider undertakes to: honour accepted bookings; give notice without delay if prevented; deliver a service matching their listing; comply with the safety rules of their activity; treat customers courteously and without discrimination; reply to messages within a reasonable time; keep availability up to date.
6. Cancellations and no-shows
Repeated late cancellations and unannounced absences degrade the experience and may lead to a warning, reduced visibility, then account suspension.
7. Reviews
Customers may rate services. The Provider may reply publicly to a review. The full identity of a review's author is never disclosed to the Provider. Any attempt to identify, pressure or retaliate constitutes a serious breach.
8. Personal data
The Provider receives only the data necessary to perform the service. They must not retain it beyond what is necessary nor use it for other purposes, in particular marketing.
9. Suspension and termination
9.1. Either party may end this agreement at any time, without notice or compensation, subject to honouring bookings already confirmed.
9.2. Fenua'p may immediately suspend an account in the event of a risk to user safety, fraud, false declaration or serious breach.
10. Changes to the agreement
Any substantial change is notified to the Provider and requires fresh acceptance. Transactions already confirmed remain governed by the version accepted at the time of their confirmation.
11. Governing law
This agreement is governed by the law applicable in French Polynesia. Any dispute will first be the subject of an attempt at an amicable solution ([email protected]) before the competent courts of Papeete are seised.
